1. PROGRAM OVERVIEW AND NATURE
1.1 Program Name
Momcozy Long-Term Co-Creator Community Rewards Program.
1.2 Program Nature
The Program is a promotional community incentive and engagement initiative. It is not a sweepstakes, contest, lottery, game of chance, or skill-based competition. Tier placement, advancement, and rewards are determined based on qualitative community contribution and engagement evaluation, not on chance, random draw, or purchase amount.
1.3 No Purchase Necessary
No purchase is necessary to participate in the Program, obtain tier status, earn Points, or receive Program rewards. Purchasing Momcozy products does not increase the likelihood of receiving any tier placement, recognition, or reward.
1.4 No Employment or Agency Relationship
Participation is entirely voluntary. Nothing in these Terms creates any employment, contractor, agency, partnership, franchise, joint venture, or similar relationship between a participant (“Participant,” “you,” or “your”) and Momcozy. Participants are independent community members acting on their own behalf. Rewards provided under the Program are promotional incentives intended to recognize community participation and do not constitute wages, salary, commissions, consulting fees, or compensation for services.
1.5 No Guarantee of Economic Benefit
Participation does not guarantee any minimum economic benefit, income, or reward. Tier status, Points, and rewards are discretionary and contingent upon meeting the evaluation criteria and Program requirements set forth herein. Past benefits do not create any expectation of future benefits.
1.6 Sponsor and Administration
The Program is sponsored and administered by Root Technology, Ltd. and/or its affiliated entities responsible for operation of the Momcozy community platform (collectively, “Momcozy,” “we,” “us,” or “our”).

1.7 Binding Agreement
By registering for, accessing, or continuing to participate in the Program, you agree to be bound by these Terms and all decisions of Momcozy, which are final and binding. If you do not agree, do not participate. Void where prohibited or restricted by law.
1.8 Program Duration
The Program is promotional in nature and is not guaranteed to continue for any specific duration. Momcozy reserves the right to modify, suspend, or terminate the Program where reasonably necessary and in accordance with applicable laws, as further described in Section 18.
2. ELIGIBILITY
2.1 Who Is Eligible
The Program is currently available in selected countries and regions designated by Momcozy from time to time. To participate, you must:
(a) Be a legal resident of a jurisdiction where the Program is active and have reached the age of majority in your jurisdiction of residence at the time of enrollment;
(b) Maintain a valid Momcozy community account in good standing;
(c) Be able to understand and comply with the Program Rules published in English;
(d) Comply with all applicable community guidelines, platform rules, and Program requirements; and
(e) Have internet access and a valid email address associated with your Momcozy account.
Momcozy may publish a list of currently eligible countries and regions in Program materials. Program availability may vary by country or region and may be expanded or restricted at Momcozy’s sole discretion.Momcozy reserves the right to restrict, suspend, or terminate participation from any jurisdiction where compliance with applicable laws—including but not limited to consumer protection, advertising, data protection, tax, product safety, or dispute resolution regulations—is not operationally feasible or would impose an undue burden on Program administration.
2.2 Who Is Not Eligible
The following persons are not eligible to participate:
(a) Employees, officers, directors, agents, and immediate family members (spouse, parents, siblings, children) of Momcozy, Root Technology, Ltd., or their respective parent companies, subsidiaries, affiliates, and advertising/promotion agencies;
(b) Persons residing in the same household as any of the foregoing ineligible persons;
(c) Any person involved in the development, production, or administration of the Program;
(d) Residents of jurisdictions where the Program is prohibited or restricted by applicable law.
2.3 Account Requirement
Participation requires a valid Momcozy App or community platform account linked to a valid email address. You are responsible for maintaining account security and keeping your account active throughout your participation. Tier status, badges, rewards, and participation rights are personal to you and may not be transferred, sold, or assigned to any other person. If you delete your account, all Program-related data, unredeemed Points, pending rewards, and tier status will be forfeited and cannot be recovered.
2.4 Restricted Jurisdictions
Momcozy may restrict or prohibit participation from certain countries, territories, or jurisdictions due to legal, regulatory, tax, customs, sanctions, operational, shipping, or compliance considerations. Eligibility for the Program may be verified based on account information, residence information, shipping address, payment information, or other verification methods reasonably determined by Momcozy. Momcozy reserves the right to reject, suspend, or terminate participation if a Participant is determined to reside in, access the Program from, or otherwise be associated with a restricted jurisdiction.
3. PROGRAM STRUCTURE — S/A/B TIER SYSTEM
3.1 Overview
The Program uses a three-tier structure based on monthly community contribution review. Tiers are dynamic and reviewed on a calendar-month basis.
Capacity targets published in Program materials are illustrative only and may be adjusted from time to time. Momcozy may modify tier capacities, qualification thresholds, and evaluation criteria at its sole discretion.
3.2 No Guarantee
Participation in the Program does not guarantee placement in, retention of, or advancement to any tier. All tier placements are discretionary and based on the evaluation standards in Section 4. Tier placement is reviewed independently each month and does not create any expectation of continued status, benefits, or future selection.
3.3 Monthly Roster Announcement
The official roster for Tier S, A, and B will be publicly announced in the Momcozy community on the 1st day of each calendar month (the “Roster Announcement”). The roster will reflect promotions, rotations, new entries, and demotions for the upcoming month. Participants agree that Momcozy may display their username, avatar, badge status, and tier designation in community roster announcements. Participants may request exclusion from public roster display by contacting community@momcozy.com; such requests will be honored where feasible and consistent with Program operations. All Program timelines follow Eastern Time (ET, UTC-4) unless otherwise stated. Momcozy’s server is the official time-keeping device.
4. EVALUATION STANDARDS & FRAMEWORK
4.1 General Principles
Tier placement and advancement are determined through holistic qualitative evaluation by Momcozy’s operations team. No single factor guarantees placement, promotion, or retention in any tier.
4.2 Evaluation Factors
Tier placement decisions are based on a holistic review of factors that may include, without limitation:
l Content quality and originality;
l Community participation and constructive engagement;
l Compliance history with these Terms and community guidelines;
l Program activity level and contribution consistency;
l Helpfulness to other community members;
l Alignment with Program values and brand safety standards.
Momcozy may consider other relevant factors reasonably determined by its operations team. Evaluation criteria may be adjusted from time to time.
4.3 Eligible Content Tone
Honest positive, neutral, and constructive experiences are all eligible for consideration. Participants will not be penalized for sharing neutral or constructive criticism, provided the content is respectful, genuine, and compliant with these Terms.
4.4 Evaluation Process
(a) At the end of each calendar month, the operations team evaluates all active Participants.
(b) Tier B → Tier A: Top-performing Tier B members may be invited to advance based on overall contribution and available Tier A capacity.
(c) Tier A → Tier S: When a Tier S position opens, standout Tier A members will be invited based on a comprehensive review of contribution, engagement, and alignment with Program values.
(d) Tier S Rotation: Tier S members may be rotated based on a holistic review of participation, contribution consistency, engagement quality, compliance history, and overall Program needs.
(e) Failure to remain active for a prolonged period may result in temporary suspension of tier benefits or reassignment of tier status.
(f) Availability of tier positions is only one factor considered in placement decisions and does not guarantee promotion of any Participant.
All tier adjustments are implemented based on the evaluation framework described in this Section 4 and are executed operationally as set forth in Section 16.
4.5 Internal Evaluation Framework
Momcozy uses an internal multi-factor evaluation framework that may include weighted qualitative and quantitative indicators, such as:
l Content contribution consistency (frequency);
l Engagement quality (not raw metrics);
l Community impact (helpfulness signals);
l Content originality and compliance score;
l Participation in optional Program activities.
The weighting and thresholds of these factors are proprietary and may vary over time. Participants acknowledge that tier placement does not guarantee entitlement to specific benefits and that evaluation outcomes may differ between similarly active participants. The framework is designed to promote fairness and authenticity, not to reward any particular sentiment or opinion.
4.6 Minimum Participation Standards
While tier placement is holistic and discretionary, Participants are expected to meet minimum participation standards communicated through official Program channels (e.g., monthly content contribution targets, community interaction expectations). Consistent failure to meet such minimum standards over a sustained period (e.g., two consecutive monthly review cycles) may result in tier demotion or removal, subject to the notice and appeal process in Section 16.4. Any newly introduced participation standards shall apply prospectively only and will be communicated at least five (5) Business Days before the beginning of the applicable evaluation cycle.
4.7 Human Review
Tier placement involves human review and is not based solely on automated processing. Participants may request human intervention or contest tier decisions through the appeal process in Section 16.4.
5. PARTICIPATION REQUIREMENTS
5.1 General Conduct
Participants must:
(a) Participate in good faith and avoid any fraudulent, abusive, or manipulative conduct;
(b) Refrain from using bots, scripts, or artificial means to inflate engagement metrics;
(c) Not create multiple accounts to circumvent Program limits;
(d) Comply with all applicable community rules, platform terms, and laws.
5.2 Artificial Engagement
Momcozy may exclude, remove, or disregard activity generated through automated means, engagement exchanges, purchased traffic, bots, fake accounts, or other artificial methods. Participants found to have manipulated metrics may be disqualified, demoted, or removed from the Program.
5.3 Content Requirements
All submitted content must:
(a) Be original or fully authorized by the rights holder;
(b) Be posted within the applicable monthly evaluation period;
(c) Include any Program hashtags, labels, or tracking identifiers designated by Momcozy from time to time through official Program communications, where applicable;
(d) Not contain false, misleading, deceptive, or unsubstantiated claims regarding medical, health, safety, performance, or product efficacy (see Section 14);
(e) Not contain prohibited content, including but not limited to: bigotry, racism, hatred, nudity, indecent material, spam, bot-generated text, duplicate or “water-filling” content, direct advertisements, or external traffic redirection unrelated to the Program theme.
5.4 AI-Generated Content
The Program is intended to encourage authentic sharing of real experiences, opinions, and community participation.
Participants may not submit content that is wholly or substantially generated by artificial intelligence tools, including AI-generated stories, testimonials, reviews, parenting experiences, product experiences, comments, or community discussions.
Limited use of AI tools for grammar correction, spelling correction, translation, formatting, or similar editorial assistance may be permitted, provided that:
(a) the underlying experience, opinion, observations, and content originate from the Participant;
(b) the Participant has personally reviewed and verified the accuracy of the content prior to publication;
(c) the content truthfully reflects the Participant’s own genuine experience and views.
Content that Momcozy reasonably determines to be primarily AI-generated, mass-produced, synthetic, misleading, or inconsistent with the Program’s authenticity objectives may be excluded from evaluation, disqualified, or result in point deductions, tier adjustments, suspension, or removal from the Program.
5.5 Synthetic Media
Participants may not submit AI-generated, synthetic, manipulated, or digitally fabricated photographs, videos, audio recordings, testimonials, screenshots, product-use demonstrations, or similar materials that could reasonably be interpreted as authentic real-world experiences. AI-generated images, avatars, deepfakes, synthetic voices, or other artificially created media are not eligible for Program evaluation unless expressly authorized in writing by Momcozy.
Participants must not use artificial intelligence tools to generate or simulate personal parenting experiences, feeding experiences, breastfeeding experiences, medical experiences, product results, or child-related situations that did not actually occur.
5.6 Recommended Participation Activities
Momcozy may periodically publish recommended participation activities or engagement opportunities. Failure to participate in any particular activity does not automatically result in removal, demotion, or disqualification. Participants are evaluated holistically against the criteria in Section 4.
5.7 Program Integrity
Momcozy reserves the right to investigate any activity that may undermine the legitimate operation of the Program, including suspected fraud, coordinated manipulation, artificial engagement, multiple-account activity, or other conduct inconsistent with the spirit of the Program.
6. POINTS RULES
6.1 Points Overview
Points (also referred to as “CozyCoins”) are promotional loyalty points issued solely for participation in Momcozy community activities. Points have no cash value, are not legal tender, are not transferable, and are non-refundable and non-saleable except as required by mandatory law.
6.2 Validity and Redemption
Points are valid only in the Momcozy Points Mall and expire ninety (90) days from the date of issuance, unless otherwise stated in applicable Points Program Rules. Points may be redeemed for eligible items in the Points Mall, subject to availability and the separate Momcozy Points Program Rules (“Points Rules”), which are incorporated herein by reference. The Points Rules govern redemption catalogs, availability, validity periods, expiration dates, account governance, and clawback procedures. In the event of any conflict between these Terms and the Points Rules regarding Points redemption mechanics, the Points Rules shall prevail.
6.3 No Cash Value
Points have no cash value and may not be redeemed for cash, transferred, exchanged, or sold, except where required by applicable law. Points are not property and cannot be exchanged between Participants.
6.4 Forfeiture, Deductions, and Recovery
Program violations may result in point deductions, tier adjustments, suspension, or removal from the Program. Momcozy reserves the right to deduct Points for content that violates these Terms, fraudulent engagement, cheating, or other breaches determined in Momcozy’s reasonable discretion. Momcozy may also recover or revoke Points or rewards that were issued in error, obtained through fraud, abuse, or manipulation, or otherwise in violation of these Terms. Participants will be notified of any such recovery where reasonably feasible.
6.5 Point Crediting
Points are virtual and will be credited directly to Participants’ Momcozy accounts within the timeframe specified in Program communications. Participants are responsible for monitoring their account balance. If Points do not appear within the stated timeframe, Participants may contact customer service within forty-eight (48) hours with relevant screenshots; Momcozy will investigate in good faith but is not liable for delays caused by technical issues or events beyond its reasonable control.
6.6 Points Adjustments
Momcozy may apply point deductions or bonus credits based on participation quality, content compliance, community contribution, or breach of Program requirements. The specific deduction and bonus criteria may be communicated through Program guidelines and are subject to change. Point adjustments do not automatically result in tier demotion unless cumulatively indicative of sustained non-compliance.
7. REWARDS
7.1 Reward Overview
Rewards are tier-based and issued monthly (or upon completion of a Qualification Period, where applicable), subject to availability, inventory, shipping feasibility, and applicable law. Rewards not claimed within 90 days after notification may be forfeited, unless a different period is stated in the reward notification. All rewards are earned based on the quality of participation and contribution, and are never conditioned on the content being positive or favorable. For the avoidance of doubt, promotional gift cards that have been delivered to a Participant’s registered email but remain unused past their stated expiration date are governed by the gift card terms and conditions and Section 7.2(a). Promotional packages are earned based on sustained Tier S status over the applicable consecutive-month period, not on calendar quarters or random draw.
7.2 Tier S — Ambassador Circle Rewards
Each month, Tier S Participants are eligible to receive:
(a) Promotional Gift Card: A USD $50.00 promotional gift card per month, delivered electronically to the email associated with the Participant’s Momcozy account. Promotional gift cards are non-cash incentives issued by or on behalf of Momcozy. Gift cards expire 30 days from the date of issuance, subject to extension to the extent required by applicable provincial, state, or local law, and cannot be redeemed for cash. Expiration dates will be clearly communicated at the time of issuance. The promotional gift card is provided solely as a Program incentive and does not constitute compensation for services rendered.
(b) Points: 1,000 Points per month, subject to Section 6.
(c) Sustained Performance Promotional Package (Event-Based Custom Gift Box): Participants who maintain Tier S status for three (3) consecutive calendar months (a “Qualification Period”) are eligible to receive one (1) Momcozy-branded promotional package.The promotional package is a non-retail, non-cash promotional item and is not available for sale to the general public.
The approximate retail value (“ARV”) of the promotional package is estimated at USD $199.00 as of the Effective Date. The stated ARV is an estimate only and may change from time to time based on product selection, product specifications, sourcing, manufacturing costs, packaging, retail pricing, market conditions, or other operational considerations.
Momcozy reserves the right to determine and modify the contents, specifications, design, and estimated ARV of the promotional package at its sole discretion. Eligibility to receive the promotional package is based solely on satisfying the Qualification Period requirement and is not affected by any subsequent change in package contents or estimated value.
If a promotional package becomes unavailable, impractical to deliver, restricted by shipping or import requirements, or cannot be provided due to circumstances beyond Momcozy’s reasonable control, Momcozy reserves the right to substitute the package with another promotional item, Points, gift card, store credit, or other Program benefit of equal or greater approximate value.
(d) ARV Disclaimer. All ARVs stated in these Terms are estimates provided for administrative, informational, and tax reporting purposes only. ARV does not represent a guaranteed value, a cash equivalent, a retail sale price, or a price at which Momcozy sells such items to consumers. Actual retail value may vary based on product configuration, market conditions, geographic location, and other factors. Momcozy makes no representation or warranty that any promotional package or other non-cash reward has the stated ARV in any particular jurisdiction.
(e) Timing of Fulfillment. Promotional packages for completed Qualification Periods will generally be shipped within thirty (30) Business Days following the end of the applicable three (3) consecutive month period, subject to inventory availability, shipping feasibility, and customs processing. Momcozy is not responsible for delays caused by international shipping, customs clearance, or events beyond its reasonable control.
7.3 Tier A — Spotlight Moms Rewards
Each month, Tier A Participants are eligible to receive:
(a) Points: 500 Points per month, subject to Section 6.
.4 Tier B — Active Voices Rewards
Each month, Tier B Participants are eligible to receive:
(a) Points: 300 Points per month, subject to Section 6.
7.5 Additional Discretionary Benefits
From time to time, Momcozy may offer additional benefits to eligible Participants, including but not limited to:
(a) Early Access to New Product Testing: Participants may be invited to test pre-release or new products, subject to Section 10.
(b) Official Featuring / Pinning: High-quality content may be eligible for consideration for official featuring, pinning, or reposting in the Momcozy community or on official social channels. Visibility and engagement for any featured content are not guaranteed. Momcozy makes no representation that featuring will result in any particular level of exposure, followers, engagement, revenue, or commercial benefit.
(c) Core Co-Creation Meetings (Tier S): Tier S Participants may be invited to virtual or in-person meetings to provide direct feedback to product and operations teams. Participation in such meetings is not guaranteed and is subject to availability and Momcozy’s discretion.
(d) Discretionary Recognition: Momcozy may, in its sole discretion, offer commemorative recognition or additional rewards to long-standing Participants. No annual reward is guaranteed.
7.6 General Reward Conditions
(a) All rewards are subject to availability and may be modified or substituted in accordance with Section 8.
(b) Rewards are personal to the Participant and may not be sold, transferred, or redeemed by any other person.
(c) Participants are solely responsible for any costs, expenses, or obligations not expressly included in the reward description.
(d) Momcozy reserves the right to require additional verification (e.g., identity, address, tax information) before fulfilling rewards.
(e) Momcozy may report reward information to tax authorities and request tax documentation (e.g., Form W-9, Form W-8BEN, or local equivalent) where required by applicable law. Any tax reporting or withholding obligation imposed by applicable law does not convert any reward into a cash-equivalent, alter the characterization of Points or promotional packages, as non-cash, non-retail promotional items for purposes of these Terms, or create any cash value, transferability, or resale rights in such rewards. Participants are solely responsible for all tax obligations arising from rewards received under the Program.
(f) If required tax documentation is not provided within the timeframe specified by Momcozy, reward fulfillment may be delayed, withheld, forfeited, or substituted to the extent permitted by applicable law.
(g) Participants are responsible for complying with all tax obligations in their jurisdiction of residence. Momcozy may withhold taxes, require local tax documentation, or suspend reward fulfillment where required by the tax laws of the Participant’s jurisdiction, including but not limited to income tax, value-added tax, or goods and services tax obligations.
8. REWARD SUBSTITUTION & UNAVAILABILITY
Momcozy reserves the right to substitute any reward (including promotional gift cards, Points, promotional packages, or test products) with another promotional benefit, reward, gift card, Points allocation, product opportunity, digital benefit, or similar item reasonably determined by Momcozy, where reasonably necessary, including but not limited to:
l Product discontinuation or inventory shortage;
l Customs, shipping, or logistical impracticability;
l Safety recalls or product specification changes;
l Applicable legal or regulatory restrictions in the Participant’s jurisdiction;
l Changes in the estimated ARV, contents, or specifications of promotional packages, or other non-cash rewards;
l Events beyond Momcozy’s reasonable control.
For non-cash promotional items, “reasonably comparable promotional benefit” will be determined by Momcozy in its reasonable discretion based on comparable promotional merchandise or similar non-cash incentives.
9. SHIPPING, TAXES & CUSTOMS
9.1 Shipping
Momcozy will bear standard shipping costs for physical rewards (e.g., promotional packages, test products) where offered, using standard international or domestic delivery methods at Momcozy’s discretion.
9.2 Customs, Duties, and Taxes
Participants remain solely responsible for any and all value-added tax (VAT), goods and services tax (GST), import duties, tariffs, customs charges, or other governmental fees imposed by the Participant’s jurisdiction. These charges are not included in the reward and may be collected by local customs authorities or carriers prior to delivery.
9.3 Undeliverable Shipments
(a) Customs Clearance Failure: If a physical reward cannot be delivered due to customs clearance failure, the reward will be deemed forfeited by the Participant. Momcozy is not obligated to reship or substitute the reward, but may, in its sole discretion, offer Points or a digital alternative of comparable value.
(b) Incorrect or Incomplete Address: The Participant bears full responsibility for providing accurate shipping information. Failure to provide accurate shipping information within the requested timeframe may result in forfeiture of the physical reward. Momcozy is not liable for rewards lost or returned due to address errors. A reshipment may be offered at Momcozy’s discretion, subject to availability.
(c) International Logistics Delays: Momcozy is not responsible for delays caused by international shipping carriers, customs processing, or events beyond its reasonable control (e.g., pandemic, natural disaster, geopolitical events).
9.4 Embargoed or Restricted Jurisdictions
If a Participant resides in a jurisdiction subject to trade embargoes, sanctions, or shipping restrictions that prevent lawful delivery, Momcozy reserves the right to substitute the physical reward with a digital or non-physical alternative, or suspend reward issuance for that Participant until lawful delivery becomes feasible.
10. PRODUCT TESTING OPPORTUNITIES
10.1 General
Certain Participants may be invited to test pre-release, prototype, or new products (“Product Testing”). Product testing opportunities are optional, not guaranteed, and subject to separate instructions, eligibility requirements, safety notices, and additional agreements where applicable. Participation in Product Testing is not guaranteed and may be withdrawn at any time.
10.2 Eligibility and Restrictions
(a) Product Testing may require additional qualification or screening beyond standard tier placement.
(b) Product Testing may be limited or unavailable in certain countries or regions due to regulatory, safety, or logistical restrictions.
(c) Test products may be designated as either loan (must be returned upon request) or gift (may be retained subject to these Terms). Test products may not be sold, transferred, or used as collateral.
10.3 Safety and Responsibility
(a) Participants are responsible for following all safety instructions provided with any test product.
(b) Product Testing does not replace professional medical advice. Participants should consult healthcare professionals regarding product use, particularly for medical devices, feeding products, or wearable technology.
(c) Test products are provided “AS IS” for evaluation purposes only. They may not be final retail versions and are not covered by standard consumer warranties unless expressly stated. Nothing in this Section 10.3 limits any statutory rights you may have as a consumer under your local law.
10.4 Confidentiality
Participants in Product Testing may receive non-public product information. Such Participants agree to keep all non-public product details confidential and not disclose, photograph, film, post, or discuss such information on any public platform without Momcozy’s prior written approval. Any feedback, ideas, or suggestions provided during Product Testing or Co-Creation Meetings may be used by Momcozy without restriction, and Participant grants Momcozy a perpetual, irrevocable, worldwide, royalty-free license to such feedback as set forth in the applicable Supplemental Terms.
11. FTC, ASA & ADVERTISING DISCLOSURE OBLIGATIONS
11.1 Material Connection Disclosure
Because Participants receive rewards (including Points, promotional gift cards, promotional packages, testing opportunities, and other benefits) in connection with their content creation and community participation, a “material connection” exists between Participants and Momcozy under applicable laws and regulations, including but not limited to:
l U.S. Federal Trade Commission (FTC) Endorsement Guides;
l UK Advertising Standards Authority (ASA) CAP Code;
l Canadian Competition Act and Competition Bureau guidelines;
l Applicable EU Member State consumer protection and advertising laws.
11.2 Disclosure Requirements
Participants must clearly and conspicuously disclose their participation in the Program and any material connection with Momcozy whenever they share content associated with the Program, in a manner that is:
(a) Understandable to the average consumer;
(b) Conspicuous and not hidden within hashtags, links, or ambiguous references;
(c) Placed prominently at the beginning of the content or in close proximity to the endorsement.
11.3 Acceptable Disclosure Examples
Acceptable disclosures include, but are not limited to:
l “I am a Momcozy Community Co-Creator and receive rewards for my participation.”
l “#MomcozyPartner”
l “#MomcozyGifted”
l “#Ad” or “#Sponsored” (where required by platform policy)
Any Program hashtags used for tracking or community organization purposes do not by themselves constitute sufficient disclosure of a material connection under FTC, ASA, or other applicable guidelines.
11.4 Participant Responsibility
Participants are solely responsible for ensuring their disclosures comply with all applicable laws, regulations, and platform policies. Momcozy reserves the right to request proof of disclosure or to disqualify content that fails to meet disclosure standards.
11.5 Momcozy Monitoring
Momcozy reserves the right to review Participant content for compliance with disclosure obligations and may provide guidance, request corrective action, or disqualify content that fails to meet applicable standards.
12. UGC CONTENT LICENSE & USAGE RIGHTS
12.1 Content License
By submitting any content (including text, photographs, videos, audio, or other materials) to the Program or Momcozy community, Participants grant Momcozy a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, edit, crop, resize, reformat, translate, caption, publish, distribute, publicly display, create derivative works from, and otherwise exploit such content (including adding branding, graphics, music, subtitles, translations, disclosures, or other production elements) for the following purposes:
(a) Community display and archiving within the Momcozy App and community platform;
(b) Official Momcozy social media accounts (Instagram, TikTok, Facebook, YouTube, etc.), including both organic posts and paid advertising on such platforms;
(c) Email marketing (EDM) and newsletters;
(d) Product detail pages (PDPs), e-commerce listings, and other sales-related channels;
(e) Digital advertising, including social media ads, display ads, retargeting campaigns, and UGC compilation;
(f) Internal training, research, and operational analysis;
(g) Other marketing, promotional, brand awareness, and commercial activities conducted by or on behalf of Momcozy in connection with Momcozy products, services, and community initiatives.
Likeness Rights: Participant further grants Momcozy the right to use Participant’s name, current or former usernames, social media handles, likeness, image, voice, biographical information, and statements contained in submitted content in connection with the licensed uses described in this Section 12.
Survival of License: The Content License granted under this Section applies to content submitted during participation in the Program, regardless of whether such content is later deleted, removed, or made unavailable by the Participant.
This Content License is granted automatically upon Program participation. Momcozy may exercise this license without further notice or compensation, except where required by applicable law. The license survives termination of participation and continues with respect to all content submitted prior to termination.
12.2 Commercial Use Covered
For clarity, the Content License in Section 12.1 expressly includes commercial use, including paid advertising, e-commerce placement, and promotional materials. Momcozy’s use of Participant content in accordance with Section 12.1 shall not require additional consent, notice, or compensation, except where required by applicable law.
12.3 No Obligation to Use
Momcozy is under no obligation to publish, display, or use any submitted content. Selection of content for featuring, reposting, advertising, or any other use is at Momcozy’s sole discretion and does not create any entitlement or expectation of use.
12.4 Participant Representations and Warranties
Participant represents and warrants that:
(a) The submitted content is original and created by Participant, or Participant has obtained all necessary rights, permissions, and authorizations to grant the license described in this Section 12;
(b) Momcozy’s use of the content in accordance with this Section 12 will not infringe, misappropriate, or violate any copyright, trademark, privacy right, publicity right, or other intellectual property or proprietary right of any third party;
(c) Where identifiable individuals appear in the content, Participant has obtained written consent from such individuals for the use described herein;
(d) Where minors (persons under the age of majority in their jurisdiction) appear in the content, Participant represents that they are the parent or legal guardian of such minor, or have obtained all necessary permissions and consents from the minor’s parent or legal guardian, including consent for commercial use as described in this Section 12;
(e) Participant is solely responsible for the accuracy of any statements, experiences, opinions, and claims contained in submitted content. Momcozy’s use of such content does not constitute endorsement or verification of any such statements, experiences, opinions, or claims.
12.5 Ownership
Participants retain ownership of their original content. The Content License granted in this Section 12 is a license only and does not constitute a transfer or assignment of ownership. Nothing in this Section 12 prevents Participants from using their own content for personal, non-commercial purposes, including sharing on their own social media accounts.
12.6 Indemnification
Participants agree to indemnify and hold harmless Momcozy, its affiliates, and their respective officers, directors, employees, and agents from and against any and all third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
(a) Any breach of the representations and warranties in Section 12.4;
(b) Any claim that the content infringes, misappropriates, or violates any third-party rights;
(c) Any claim arising from Participant’s failure to obtain necessary consents or permissions;
(d) Any claim arising from the accuracy or inaccuracy of statements, experiences, opinions, or claims contained in submitted content.
12.7 Local Law Rights
Nothing in this Section 12 limits any rights Participants may have under mandatory local law, including but not limited to moral rights, data subject rights, or consumer protection rights that cannot be waived by contract. If any provision of this Section 12 is unenforceable under applicable local law, the remaining provisions shall remain in full force and effect.
13. CHILD IMAGE & MINOR PROTECTION
13.1 Consent Requirement
Participants must ensure that they have obtained all necessary permissions, consents, and authorizations from a parent or legal guardian before submitting any content featuring minors (persons under the age of majority in their jurisdiction). Alternatively, the Participant may themselves be the parent or legal guardian of such minor. By submitting such content, Participants represent and warrant that they have secured verifiable written consent from the minor’s parent or legal guardian (or are themselves the parent/legal guardian) authorizing the submission and use of the content in accordance with the Program Terms, including for commercial purposes.
13.2 Prohibited Content Involving Children
Content must not:
(a) Depict nudity, partial nudity, or intimate bodily details of minors;
(b) Reveal personally identifiable information of minors (e.g., full name, school name, home address, geolocation data);
(c) Otherwise violate child safety standards or applicable child protection laws.
13.3 Data Protection for Minors
If content featuring minors is used by Momcozy, Momcozy will process such data in accordance with its Privacy Policy and applicable data protection laws. Momcozy reserves the right to blur faces, remove identifying details, or decline to use content that does not meet child safety standards.
14. MEDICAL CLAIMS PROHIBITION
14.1 Personal Experience vs. Medical Advice
Personal parenting, feeding, or product experiences shared by Participants represent individual experiences only and must not be interpreted as medical, healthcare, lactation, or professional advice. Momcozy does not endorse any Participant’s personal experience as medically sound or universally applicable.
14.2 Prohibited Claims
Participants must not make any false, misleading, deceptive, or unsubstantiated claims regarding:
(a) Medical efficacy, disease treatment, or health outcomes;
(b) Product safety certifications or regulatory approvals (e.g., FDA, CE) not expressly held by the specific product;
(c) Comparative health or safety superiority over competing products without competent and reliable scientific evidence;
(d) Guaranteed results, cures, or prevention of any condition.
14.3 Safe Language
Participants should use cautious, experience-based language (e.g., “This helped me,” “In my experience,” “I found this useful”) rather than absolute or clinical claims (e.g., “This cures,” “This is medically proven,” “Doctors recommend this”).
15. BRAND SAFETY STANDARDS
15.1 Prohibited Conduct
Participants must not submit content or engage in conduct that:
(a) Promotes hatred, bigotry, racism, discrimination, or violence against any group or individual;
(b) Contains adult, sexually explicit, or obscene material;
(c) Depicts or encourages dangerous parenting practices, child endangerment, or unsafe product use;
(d) Contains medical misinformation or health claims prohibited under Section 14;
(e) Infringes third-party intellectual property rights;
(f) Violates any applicable law or platform policy.
15.2 Enforcement
Violation of Brand Safety Standards may result in immediate content removal, point deduction, tier demotion, or removal from the Program. Momcozy reserves the right to report illegal content to appropriate authorities.
16. PROMOTION, DEMOTION & REMOVAL MECHANISMS
16.1 Monthly Review and Operational Execution
All tier placements are reviewed on a monthly basis in accordance with the evaluation framework described in Section 4. Momcozy’s decisions regarding tier placement, promotion, and demotion are final and binding, subject to the appeal process in Section 16.4. The operational adjustments described in this Section 16 are implemented based on the standards and criteria set forth in Section 4.
16.2 Demotion and Rotation
(a) Tier S → Tier A: Tier S members may be rotated based on a holistic review of participation, contribution consistency, engagement quality, compliance history, and overall Program needs.
(b) Tier A → Tier B: Tier A members may be rotated to Tier B based on a holistic review of the same factors.
(c) Tier B → Removal: Tier B members who fail to meet minimum participation standards may be removed from the Program roster.
(d) Failure to remain active for a prolonged period may result in temporary suspension of tier benefits or reassignment of tier status.If a Tier S Participant is rotated or demoted from Tier S before completing a three (3) consecutive month Qualification Period, no promotional package will be earned for that incomplete period. A new Qualification Period begins upon the Participant’s return to Tier S status.
All demotions and rotations are subject to the notice and appeal process in Section 16.4, unless immediate action is required per Section 16.3.
16.3 Immediate Removal
Momcozy may remove a Participant from the Program without prior notice if immediate action is required due to:
(a) Fraud, abuse, or manipulation of Program metrics;
(b) Safety concerns or threats to the community;
(c) Legal obligations or regulatory requirements;
(d) Repeated or egregious violations of these Terms.
16.4 Notice and Appeal
Before formal demotion or non-emergency removal, Participants will generally receive:
(a) Written notice (via email or Momcozy App notification) specifying the grounds for demotion or removal;
(b) A 7 Business Days appeal period to submit a written appeal to community@momcozy.com;
(c) A review of the appeal by Momcozy’s Program administration team.
Momcozy will use commercially reasonable efforts to issue its final decision within fifteen (15) Business Days after receipt of the appeal. The appeal process does not guarantee reinstatement.
16.5 Voluntary Exit
Participants may voluntarily exit the Program at any time by notifying Momcozy via email to community@momcozy.com. Upon exit:
(a) All unredeemed Points remain subject to the Points Rules (including any expiration);
(b) Pending rewards for the current month may be forfeited if exit occurs before the monthly roster announcement;
(c) The content licenses granted in Section 12 survive termination for content already published or utilized by Momcozy prior to exit.
17. PRIVACY
All personal data collected in connection with the Program is processed in accordance with Momcozy’s Privacy Policy, available at https://momcozy.com/privacy (or as updated). The Privacy Policy is incorporated herein by reference.
18. MODIFICATION, SUSPENSION & TERMINATION
18.1 General
Momcozy reserves the right to modify, suspend, or terminate the Program, or any part thereof, where reasonably necessary and in accordance with applicable laws, including but not limited to changes in applicable law or regulatory guidance; fraud, technical problems, or security concerns; business reorganization or resource constraints; or events beyond Momcozy’s reasonable control (Force Majeure). Force Majeure events include, without limitation, natural disasters, pandemics, war, terrorism, government actions, strikes, or any other event beyond Momcozy’s reasonable control.
18.2 Notice of Material Changes; Immediate Operational Updates
Momcozy will use commercially reasonable efforts to provide 30 Business Days’ advance notice of material changes to these Terms via email or community announcement. Continued participation after the effective date of such changes constitutes acceptance. Notwithstanding the foregoing, Momcozy may implement changes to Program mechanics, evaluation processes, or operational rules immediately where operationally necessary and such changes do not materially and adversely affect already earned rewards or Points. Material changes that reduce the value of earned but unredeemed rewards or Points will be subject to the advance notice requirement. Any operational changes affecting eligibility, evaluation standards, or participation requirements shall apply prospectively only.
18.3 Termination by Momcozy
If the Program is terminated, Momcozy will:
(a) Notify Participants via community announcement and email;
(b) Allow redemption of accumulated Points in accordance with the Points Rules for a reasonable wind-down period (not less than 30 days, where feasible);
(c) Not be liable for any unredeemed Points or pending rewards beyond what is required by applicable law.
19. GOVERNING LAW & DISPUTE RESOLUTION
19.1 Governing Law
These Terms are governed by the internal laws of the State of Colorado, U.S.A., without regard to conflict-of-law principles.
19.2 Local Mandatory Law Exception
To the extent that any provision of these Terms is inconsistent with or prohibited by mandatory local laws applicable to a Participant (including consumer protection laws, privacy laws, or other statutory rights that cannot be waived), such mandatory local laws will supersede these Terms for that Participant only, and the remainder of these Terms will remain in full force and effect. Nothing in these Terms limits any rights a Participant may have under mandatory local law.
Notwithstanding Section 19.1, Participants who are residents of the United Kingdom, Canada, or the European Union may be entitled to bring claims in their local courts and under their local laws as mandated by applicable consumer protection legislation.
19.3 Informal Dispute Resolution
Before initiating any formal dispute resolution, Participants must first contact Momcozy at community@momcozy.com with:
(a) Their name and contact information;
(b) A description of the dispute;
(c) The relief sought.
Momcozy will attempt to resolve the dispute informally within 60 Business Days of receipt.
19.4 Arbitration
(a) For Participants who are legal residents of the United States: Any claim or dispute arising out of or relating to the Program shall be resolved exclusively by FINAL AND BINDING ARBITRATION administered by the American Arbitration Association (AAA) before a single arbitrator using the AAA’s Consumer Arbitration Rules. The arbitration shall be held in Denver, Colorado. This arbitration agreement is governed by the Federal Arbitration Act (FAA).
(b) For Participants who are legal residents outside the United States: Any claim or dispute arising out of or relating to the Program shall be resolved exclusively by FINAL AND BINDING ARBITRATION administered by the Hong Kong International Arbitration Centre (HKIAC) under its Administered Arbitration Rules. The seat of arbitration shall be Hong Kong, and the arbitration shall be conducted in English. This arbitration agreement is governed by the Arbitration Ordinance (Cap. 609) of the Laws of Hong Kong.
(c) CLASS ACTION WAIVER: Claims must be brought in an individual capacity only. No class, representative, consolidated, or private attorney general actions are permitted. Participants expressly waive any right to participate in a class action or other representative proceeding.
(d) Notwithstanding the foregoing, this arbitration agreement shall not apply to the extent prohibited by mandatory local laws applicable to a Participant (including consumer protection laws, privacy laws, or other statutory rights that cannot be waived). Participants residing in jurisdictions where mandatory local law prohibits pre-dispute arbitration agreements in consumer contracts may bring claims in the courts of their jurisdiction of residence. Small claims court remedies are preserved as applicable.
(e) If binding arbitration is not enforceable under the mandatory local laws of a Participant’s jurisdiction of residence, any dispute shall be resolved exclusively in the courts of that jurisdiction. Momcozy does not waive any defense, including forum non conveniens, that may be available under applicable law.
20. GENERAL PROVISIONS
20.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between the Participant and Momcozy regarding the Program and supersede all prior agreements, understandings, and communications.
20.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision will be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms, and the remaining provisions will continue in full force and effect.
20.3 Waiver
Momcozy’s failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Momcozy.
20.4 Assignment
Participants may not assign or transfer their rights or obligations under these Terms without Momcozy’s prior written consent. Momcozy may assign these Terms without restriction.
20.5 Computation of Time
Unless otherwise specified, all references to “days” in these Terms mean calendar days. References to “Business Days” shall have the meaning set forth in Section 20.8.
20.6 Language
The official language of these Terms is English. If there is any inconsistency between the English version and any translated version, the English version shall prevail.
20.7 Platform Disclaimer
This Program is not sponsored, endorsed, administered by, or associated with any third-party social media platform, including but not limited to Facebook, Instagram, TikTok, Reddit, YouTube, or X (formerly Twitter).
20.8 Business Days
“Business Day” means any day other than Saturday, Sunday, or a public holiday in the jurisdiction from which the Program is administered.
